NON-DISCLOSURE AND NON-CIRCUMVENTION AGREEMENT

IPlay, Incorporated, hereinafter "IPlay", and _____________________________________, individually, hereinafter referred to as SYSOP, the Parties hereto agree as follows:
IPlay may provide certain computer programs, software and other data, hereinafter referred to as SYSTEMS, to SYSOP for the sole purpose of preforming their duties as a system operator.
The rights related to such information, generally regarding the GAMES and to the development of and marketing of said GAMES, shall be as follows:
IPlay claims sole rights to the SYSTEMS, its information, and to any business derived from contact with aforesaid GAMES, and IPlay is willing to disclose the SYSTEMS in consideration of the following covenants and agreements made by SYSOP.
Information and programs related specifically to IPlay, revealed by either party hereto to the other remains the property of the first party.
SYSOP agrees that it shall not use any advantages derivable from such information in its own business or affairs, unless the same is pursuant to an agreement in writing with IPlay.
Further, SYSOP shall hold in confidence all of such information and shall not directly or indirectly disclose to others such information. SYSOP shall protect such information from disclosure by reasonable means, including but not limited to at least the same level of security that SYSOP uses for its most crucial proprietary, marketing and trade secret information.
The obligation of confidentiality shall not apply to any information which was already known to SYSOP at the time of disclosure by IPlay; was already published at the time of disclosure; or, that was disclosed by a third party prior to the disclosure by IPlay, provided that the third party had authority to make such disclosure. SYSOP shall notify IPlay, in writing, and at the earliest time possible, of the information disclosed by SYSOP which SYSOP claims falls under the provisions of this paragraph related to earlier knowledge, publication, or prior disclosure.
The obligations of confidentiality will cease at such time when the information becomes generally known through no fault of SYSOP, or upon voluntary disclosure of such information by IPlay to the public.




Upon request, SYSOP shall return all tangible computer media, data, and documents provided or disclosed by IPlay which are subject to this agreement. Further,SYSOP upon such return shall destroy any and all copies of the same on all and any media retained by SYSOP and will, upon request of IPlay execute an affidavit of compliance in a form acceptable to IPlay verifying the destruction and full compliance with this agreement.
